Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SimpliLeads, the live operations dashboard (“SimpliLeads”, “we”, “us”). By signing in or using the Service, you agree to these Terms on behalf of yourself and the organization you represent.

1. Eligibility and accounts

SimpliLeads is provided to organizations through provisioned accounts. You must use the email address your account manager set up for you, keep your credentials confidential, and are responsible for activity under your account. Notify us promptly of any unauthorized use.

2. The Service

SimpliLeads reads operational data from systems you connect and presents it as a live dashboard. We present figures sourced from your real systems and do not fabricate records. Availability of certain views depends on the sources you connect and their availability.

3. Acceptable use

You agree not to:

• Access data you are not authorized to view, or attempt to circumvent authentication or access controls;
• Reverse engineer, scrape, or disrupt the Service or its infrastructure;
• Use the Service to violate any law or the rights of others;
• Resell or provide access to the Service to third parties without our written consent.

4. Customer data

As between you and us, your organization owns the data it connects and the records SimpliLeads displays. You grant us a limited license to process that data solely to provide the Service. Our handling of personal information is described in the Privacy Policy.

5. Intellectual property

The Service, including its software, design, and brand, is owned by SimpliLeads and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

6. Subscriptions and fees

Where the Service is provided under a paid plan, fees, billing cycles, and renewal terms are set out in your order or agreement with us. Unless stated otherwise, fees are non-refundable and subscriptions renew until cancelled in accordance with that agreement.

7. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need to know and are bound by similar obligations.

8. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that connected sources will always be available.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability arising out of or relating to the Service will not exceed the amounts paid by your organization for the Service in the twelve months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends and cached source data is purged as described in the Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and continued use after changes take effect constitutes acceptance.
